Acquisition Expands Grayling's Technology Offerings

CALGARY, Aug. 25 /CNW/ - Grayling Wireless USA Inc. (Pink Sheets: GRYW)
announced today that it has signed a memorandum of understanding with Metaform
Venture Corp., a privately-held Alberta corporation, to purchase the North
American operations of Sentai Software of Edmonton, Alberta.
Sentai Software provides complete distribution and financial solutions to
businesses worldwide. Sentai's integrated applications deliver an efficient
cost effective environment for companies to manage their front office,
distribution, warehouse and e-commerce requirements in the industrial,

The MOU contemplates the purchase of Sentai's operating companies in
Canada and the U.S. The transaction is conditional upon Grayling's due
diligence, the completion of a fairness review and approvals from both Boards
of Directors. The parties are moving forward with the best of intentions to
complete a transaction.
